TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “you”) and Rapid Fulfillment, Inc., a California company (“Rapid Fulfillment,” “Company,” “we,” or “us”), governing your access to and use of RapidFulfillment.com and all related services, including but not limited to warehousing, fulfillment, logistics, call center support, manufacturing coordination, shipping, drop-shipping, returns processing, software integrations, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. SERVICES
Rapid Fulfillment provides third-party logistics, fulfillment, storage, manufacturing coordination, shipping facilitation, and related operational support services.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability.
Rapid Fulfillment does not guarantee shipping transit times, carrier performance, customs clearance outcomes, or delivery success.
2. CLIENT OBLIGATIONS
You agree that:

You are solely responsible for the legality, safety, labeling, compliance, and regulatory status of all goods submitted to Rapid Fulfillment.

All products must comply with applicable federal, state, and international laws including FDA, FTC, DOT, USPS, and carrier requirements.

You will provide accurate product declarations, safety data sheets (if applicable), and all required documentation.

You will maintain adequate product liability insurance naming Rapid Fulfillment as additional insured upon request.
Rapid Fulfillment reserves the right to refuse, quarantine, or dispose of goods that:

Are dangerous, illegal, improperly labeled, counterfeit, or otherwise non-compliant

Present safety or regulatory risks
-
Are subject to government hold, recall, or investigation
All costs associated with such actions shall be borne by Client.
3. STORAGE & FULFILLMENT TERMS

Storage and fulfillment fees shall be charged pursuant to Rapid Fulfillment’s current rate schedule.

Rapid Fulfillment may adjust pricing upon written notice.

Inventory counts are subject to reasonable variance.

Client is responsible for maintaining appropriate inventory levels and product expiration monitoring.
Rapid Fulfillment is not liable for:

Carrier delays or lost packages
-
Customs seizures or import restrictions
-
Force majeure events
-
Acts of God, labor disputes, war, terrorism, cyber incidents, or infrastructure failures
4. LIMITATION OF LIABILITY
To the fullest extent permitted under California law:

Rapid Fulfillment’s total aggregate liability shall not exceed the fees paid by Client in the preceding three (3) months.

Rapid Fulfillment shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity.

Rapid Fulfillment shall not be considered an insurer of goods.
Clients are strongly advised to maintain their own cargo and inventory insurance.
5. INDEMNIFICATION
Client agrees to defend, indemnify, and hold harmless Rapid Fulfillment and its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, losses, costs, or expenses (including attorneys’ fees) arising out of:

Product defects or regulatory violations

Personal injury or property damage

Intellectual property claims
-
Marketing representations made by Client
-
Failure to comply with laws or carrier rules
6. PAYMENT TERMS

All invoices are due upon receipt unless otherwise agreed in writing.

Rapid Fulfillment may suspend Services for non-payment.

Client agrees to pay all reasonable collection costs including attorneys’ fees.

Late balances may accrue interest at 1.5% per month or the maximum allowed by law.
Rapid Fulfillment may require deposits, reserves, or prepaid balances at its discretion.
7. RETURNS, CLAIMS & DAMAGES

Claims for shortages or damage must be submitted within five (5) business days of delivery confirmation.

Failure to timely notify constitutes acceptance.

Rapid Fulfillment may, at its discretion, repair, replace, credit, or deny claims.
Carrier claims are subject to carrier rules and timelines.
8. SOFTWARE & PLATFORM USE
Access to Rapid Fulfillment software, portals, or integrations is provided “as-is.”
We do not guarantee uptime, data accuracy, or uninterrupted availability.
Client agrees not to:

Reverse engineer systems

Attempt unauthorized access

Introduce malware or harmful code
